UK LLP Tax 2026: What Online Coaches Really Save with an LLP

"0% tax with a UK LLP" – few promises are sold to online coaches as often. What is true: the LLP pays no corporation tax in the UK, and members who are neither UK resident nor earning UK income pay no income tax there either. What is false is that the tax disappears. This guide to UK LLP tax shows where profits are actually taxed and who the structure pays off for.

UK LLP tax – tax structure for internationally active online coaches
Key takeaways
  • ✛The UK LLP is tax-transparent: no corporation tax, profits are allocated to the members.
  • ✛Non-UK-resident members pay UK tax only on UK-source profits or profits from a trade carried on in the UK.
  • ✛Full tax liability remains in the country of residence. Germany, Austria and Switzerland generally treat the LLP as a partnership.
  • ✛A real advantage only arises in combination with residence in a low-tax or territorial-tax country.
  • ✛Obligations remain: accounts at Companies House, Partnership Tax Return (SA800) at HMRC, identity verification of members since November 2025.

The problem successful online coaches face

From around EUR 20,000 in monthly revenue, many coaches, consultants and infopreneurs notice that their start-up structure no longer fits. A sole proprietorship or GmbH in Germany quickly leads to marginal rates of 42 to 48%. A US LLC is also transparent in Germany and does not solve the problem on its own.

This is where the UK Limited Liability Partnership comes in. It is not an offshore company but a regular legal form under the Limited Liability Partnerships Act 2000 – with one clear tax feature.

How the UK LLP is taxed

Under civil law the LLP is a body corporate with its own liability. For tax, the UK treats it like a partnership: the LLP pays no corporation tax and profits are allocated to the members. HMRC then taxes each member according to their personal circumstances.

Member's situationUK tax
UK residentIncome tax up to 45% plus Class 4 NIC on the profit share
Non-resident, activity outside the UK, no UK clientsGenerally no UK tax
Non-resident, activity partly in the UKTax on the profit share from the UK activity
UK LLP tax – profits taxed at member level instead of entity level

What matters is not the LLP's London address but where the services are performed and the business is managed. Coaches working from Dubai, Georgia or Cyprus carry on their activity there, not in the UK.

The flip side: tax liability where you live

Because the LLP is transparent, profits go straight to the member – and are taxed where the member is resident.

  • ✛Germany: the LLP is treated as a partnership under the entity comparison. The profit share is fully subject to income tax, as business or professional income. If management is in Germany, trade tax may apply.
  • ✛Austria: also transparent treatment, taxation up to 55%.
  • ✛Switzerland: foreign partnerships are generally treated as transparent. The profit share is subject to income and wealth tax, plus social security on self-employed income.

Anyone living in a high-tax country therefore saves practically nothing with an LLP. Extra accounting, two tax returns and explaining the structure to banks add costs. The UK tax burden itself is covered in our article on UK taxes.

When a UK LLP pays off

The LLP only delivers its advantage together with a suitable residence. Typical set-ups:

  • ✛Residence with territorial taxation: countries such as Georgia, Panama or Paraguay do not tax foreign income, or only partly.
  • ✛Residence without income tax: e.g. the UAE – profit shares then remain effectively tax-free.
  • ✛Digital nomads without tax residence: risky, because almost every country assumes tax liability after 183 days and many home countries do not release residence until a new one is proven.
  • ✛International partnerships: several members in different countries, each taxing their share at home.

SWICOR plans the change of residence under residency abroad. Anyone leaving Germany must also consider extended unlimited tax liability and, for GmbH shares, exit tax.

Obligations and running costs

  • ✛At least two designated members – individuals or companies
  • ✛Identity verification: since 18 November 2025, all members and persons with significant control must verify their identity with Companies House
  • ✛Public register: names, service address, month and year of birth of members are visible
  • ✛Annual accounts and confirmation statement at Companies House
  • ✛Partnership Tax Return (SA800) at HMRC – even if no UK tax is due; late filing costs GBP 100 per member
  • ✛VAT: digital courses sold to EU consumers usually require registration under the non-Union OSS; in Switzerland from CHF 100,000 worldwide turnover

These obligations are why an LLP is not a set-and-forget product. How to set it up properly is shown in our article on UK LLP setup.

Privacy and banking

The LLP is not an anonymous structure. Members and persons with significant control appear in the public register, and your country of residence receives account data through the automatic exchange of information. The Economic Crime and Corporate Transparency Act 2023 tightened the rules further, partly because LLPs featured in money laundering scandals in the past.

Major UK banks rarely open accounts for LLPs without UK members. In practice, fintechs or banks outside the UK are used. SWICOR helps with bank account opening, for example a bank account in Georgia.

Conclusion: structure and residence belong together

The UK LLP is a serious, internationally recognised vehicle. But "0% tax" applies only at UK level. Whether you save overall depends on where you live. For coaches who plan to move abroad anyway, the LLP can be an efficient building block. For everyone else it is usually just an extra administrative layer.

The most common mistakes in practice are covered in our article on UK LLP mistakes.
